The Board of Directors (the “Board”)
- means the board of directors of the Association.
The Executive Committee (the “ExCo”)
- means a committee setting up by the Board.
Association Session
- means the session beginning with the conclusion of the Annual General Meeting and expiring on the conclusion of the second anniversary of such Annual General Meeting.
The Board:
- The Board oversees governance, strategy, and legal compliance, serving as the governing body of SEYSA (a limited company by guarantee).
- Board members are elected at the Annual General Meeting (AGM).
- The Board shall consists three principal officers – the Chairperson, Vice-Chair and Treasurer (collectively Principal Officers”).
The Executive Committee:
- The ExCo handles operational and task-specific execution, working under the Board’s direction.
- The three Principal Officers (Chairperson, Vice-Chairperson, and Treasurer) from the Board serve as ex-officio members of the ExCo.
- Executive Committee Members are appointed (not elected) by the Board, Committee Members support specialized functions or projects.
Election of Members of Board
- Each term for an office as Board Member shall correspond to one Association Session.
Nominations of Board Members
- Nominations of Board Members shall be opened at least 1 month prior to the Annual General Meeting or the general meeting (as the case may be) and shall be closed two weeks prior to the Annual General Meeting or the general meeting.
- The proposer and the seconder in a nomination shall all be Voting Members (Full Members).
